Introduction

These Terms and Conditions ("T&C") apply to the acquisition and rental of software licenses ("Licenses") from the publisher OrNsoft ("the Publisher") in Europe through the reseller NeuronsOn ("NeuronsOn" or "we"). By purchasing or renting a License from NeuronsOn, you ("the Client") agree to be bound by these T&C. Please read them carefully and ensure you understand them before proceeding with any transaction.

Acquisition and License Rental

2.1. NeuronsOn offers Licenses for the Publisher's software in Europe, including France. These Licenses can be acquired or rented by the Client according to the options presented on our website or pursuant to the terms of our contracts.
2.2. By acquiring or renting a License, the Client obtains the right to use the respective software in accordance with the Publisher's End User License Agreement ("EULA"), which must be accepted by the Client before installing and using the software.
2.3. The price, payment terms, duration, and scope of the License are determined at the time of purchase or rental and are subject to written confirmation from NeuronsOn.

Maintenance and Technical Support

3.1. The Publisher is responsible for the maintenance and technical support of the software. The Client should contact the Publisher directly for all questions or issues regarding maintenance and technical support, in accordance with the terms of the EULA and/or maintenance and support contracts concluded between the Client and the Publisher.
3.2. NeuronsOn is not responsible for any technical, maintenance, or support issues that might arise from the use of the software.

Liability

4.1. NeuronsOn cannot be held responsible for direct, indirect, special, or consequential damages, including, but not limited to, loss of profits, loss of business, loss of data, or the cost of recovering data, related to the acquisition, rental, or use of the software.
4.2. The maximum liability of NeuronsOn to the Client for any damages, regardless of the cause, is limited to the amount paid by the Client for the License.

Confidentiality

NeuronsOn respects the confidentiality of the Client's information and is committed to protecting this information in accordance with our Privacy Policy, available on our website.

Changes to Terms and Conditions

NeuronsOn reserves the right to modify these T&C at any time. Changes will be posted on our website and will take effect immediately. The Client is responsible for regularly checking these T&C to be informed of any changes.

Applicable Law and Jurisdiction

These T&C are governed by French law. Any dispute arising out of or in connection with these T&C will be subject to the exclusive jurisdiction of the French courts.

General Provisions

8.1. If any provision of these T&C is found to be invalid, illegal, or unenforceable by a competent court, that provision will be deemed severable and will not affect the validity and enforceability of the other provisions of these T&C.
8.2. The failure of NeuronsOn to exercise or delay in exercising any of its rights under these T&C does not constitute a waiver of such rights, nor does it prevent the subsequent exercise of such rights.
8.3. The T&C constitute the entire agreement between the Client and NeuronsOn concerning the acquisition and rental of the Publisher's software Licenses in Europe and supersede all prior agreements, communications, and arrangements, whether written or oral, between the parties regarding this subject matter. In case of conflict between the terms of these T&C and any other document, the terms of these T&C will prevail, unless otherwise indicated in writing and signed by both parties.
